Summary of Terms and Conditions

1. Applications for joining the Online Network and accessing content can be made via admin@salus.education. Applications are reviewed by Salus Education and will be accepted at our discretion. Applications may be subject to an identity check through verification with a professional body or regulator. Subscribers shall be referred to as “delegates” or "members".

2.  All applicants will guarantee that all information provided by them is true and accurate. 

3. Access to the site will begin once payment is received (where applicable) and you tick the terms and conditions boxes. 

4. Access is available to individuals and organisations.

5. Copyright and intellectual property rights for any information provided to delegates through any format will remain vested in Salus Education, Laser Education Limited and the authors. By uploading content, information or material to the site you grant the right and license for others to use the content. 

6. Salus Education will maintain a database containing delegates personal information for subscription and marketing purposes. Information will be processed in accordance with our privacy notice.

7. Any complaints regarding inappropriate use of the site will be investigated.

8. Contributions to the site must not be defamatory of anyone or be likely to upset or embarrass anyone. When making contributions you must not impersonate others or misrepresent your identity.

9. You are responsible for keeping your site password confidential and for all of the activities that occur under your password.

10. Site accounts and access can be cancelled by Salus Education.

B  Membership terms and conditions

1. Name

The name of the website is Salus Education (the "site") maintained and operated by Laser Education Limited.

2. Objects and powers

2.1 In furtherance of the site’s key objectives it may:

2.1.1 organise and carry on the work of the site;

2.1.2  arrange and provide for, or join in arranging and providing for, the holding of online and other meetings, lectures, classes, seminars and training courses;

2.1.3 collect and disseminate information on all matters affecting such objects and exchange such information with other bodies having similar objects whether in this country or overseas;

2.1.4 cause to be written and printed or otherwise reproduced and circulated, gratuitously or otherwise, such papers, books, periodicals, pamphlets or other documents or films or recorded tapes (whether audio or visual or both) as shall further the said objects;

2.1.5 do all such other lawful things as are necessary for the attainment of such objects; or

 

3. Membership

3.1 Membership of the site shall be open to all individual and organisational subscribers deemed eligible by the site.

3.2 Membership can only be applied for via admin@salus.education. Applications are reviewed by the site and may be accepted or refused at its sole discretion.

3.3 Membership applications may be subject to an identity check. All applicants guarantee that any information provided by them is true and accurate.

3.4 The site shall have the right for good and sufficient reason and in any event at its sole discretion to refuse or terminate the membership of any individual or organisation at any time, including without limitation:

3.4.1 if any applicant or member provides inaccurate or false information 

3.4.2 if any member breaches any of the terms of membership; or

3.4.3 if any member behaves,  in any manner which is detrimental to the reputation or image of the site

3.5 Membership does not automatically entitle delegates to participate in professional development programmes. Separate application processes with a range of criteria may apply for these programmes. 

3.9 The benefits provided to members of the site are not able to be transferred or assigned.

3.10 Site membership commences on the date on which the relevant member accepts these terms and conditions by completing the online application form and agreeing to it.

4.  Fees and payments

4.1 Salus Education is a learning domain operated and managed by Laser Education Limited. Fees for educational programmes and learning content are payable to Laser Education Limited.

5.  Alterations to these terms and conditions

Subject to the following provisions of this clause these terms and conditions may be altered without notice by and shall be binding on the members.  Any such alteration shall be transmitted to the members of the scheme within a reasonable time period and shall be effective as directed by the site.

6. Notices

Any notice may be served by the site on any member either personally or on its appointed representative (as the case may be), by email, by an announcement via the site or by sending it through the post in a prepaid letter addressed to such member at his, her or its last known address in the United Kingdom, and any letter so sent shall be deemed to have been received within five days of posting

7. Liability

Laser Education Limited excludes all liability to any member whether arising in contract, tort or otherwise save that this exclusion shall not exclude its liability for death or personal injury arising from its negligence, nor its liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

8. Equality and diversity

8.1 Salus Education through Laser Education Limited operates an equality and diversity policy. Members will comply with any applicable anti-discrimination legislation or other relevant or equivalent legislation, or any statutory modification or re-enactment thereof.

8.2 Failure to comply with clause 9.1 above will result in a member’s membership being immediately terminated.

9. Members data

9.1 Salus Education will maintain a database containing each scheme member’s personal information (where provided by the individual/organisation). We will process information about you in accordance with our Privacy Notice.

By becoming a member you consent to such processing and you warrant that all data provided by you is accurate. 

10. Intellectual property and copyright

10.1 The copyright and/or any intellectual property rights in any information or media provided to members through any format, including without limitation, the site, email, internet and publications remains with Salus Education, Laser Education Limited and the author.

10.2 The copyright notice must remain on all reproductions of material obtained from Salus Education and Laser Education Limited through any medium. Members may download, store and use the material for their own personal use and research only.

11. Validity

Each of the provisions of these terms and conditions is severable and distinct from the others and if at any time one or more of such provisions is or becomes invalid, illegal or unenforceable the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

12. Entire agreement

These terms and conditions constitute the whole agreement between the parties and supersede all previous agreements between the parties relating to its subject matter.

13. Benefit of agreement

No person who is not a party to these terms and conditions is intended to receive a benefit under, or be entitled to enforce, these terms and conditions pursuant to the Contracts (Rights of Third Parties) Act 1999.

14. Jurisdiction and applicable law

These terms and conditions are governed by English law and any dispute arising from, or related to these terms and conditions shall be subject to the exclusive jurisdiction of the Courts of England and Wales. 

C  Site terms of use

1. Introduction

1. Laser Education Limited maintains and operates Salus Education as an online platform to promote educational programmes and learning and professional development. There are specific terms of use by which you may make use of the site as a registered user. Please read these terms and conditions before you use the site.  By checking the box you indicate that you accept these terms of use and that you agree to abide by them and Salus Education privacy policy.

2. Accessing the site

Access to the site is by enrollment only, but we reserve the right to withdraw or amend the service we provide without notice. We will not be liable if for any reason the site is unavailable at any time or for any period.

3. Termination of account

3.1 You agree that Salus Education, at its sole discretion, may at any time terminate your account and your ability to use the site. You may terminate your account or request changes to your account by contacting Salus Education.

3.2 Failure to comply with these terms of use constitutes a material breach and may result in Salus Education taking all or any of the following actions:

3.2.1 immediate, temporary or permanent withdrawal of your right to use the site;

3.2.2 immediate, temporary or permanent removal of any contribution already posted;

3.2.3 issue of a warning to you;

3.2.4 legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;

3.2.5 further legal action against you; and 

3.2.6 disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.

Salus Education excludes its liability for all action it may take in response to breaches of these terms of use.  The actions described above are not limited, and it may take any other action it reasonably deems appropriate.

4. Content

4.1 Monitoring

4.1.1 Salus Education will monitor but is under no obligation to censor the site. It will, however, investigate complaints that are brought to its attention concerning inappropriate use. Wherever possible, it shall remove material posted by individuals who use the site which it reasonably considers to be offending, in breach of the content standards or these terms of use. 

4.1.2 You agree that Salus Education, at its sole discretion, may at any time: 

(a) remove any content, information or material from the site;

(b) make changes to or discontinue any and all aspects of the site; and

(c) disable or suspend access to the site or any part of it.

4.2 Content standards

4.2.1 These content standards ("content standards") apply to each part of a contribution to the site as well as to its whole ("contribution").  The content standards must be complied with in spirit as well as to the letter.  Salus Education will determine, in its discretion, whether a contribution breaches the content standards. 

4.2.2 A contribution must:

(a) be accurate (where it states facts);

(b) be genuinely held (where it states opinions);

(c) comply with the law applicable in England and Wales and in any country from which it is posted; and

(d) be relevant.

4.2.3 A contribution must not:

(a) be defamatory of any person;

(b) be obscene, offensive, hateful or inflammatory (no bad language or pictures);

(c) promote discrimination based on the protected characteristics (i.e. age, race, gender reassignment, marriage and civil partnership, pregnancy and maternity, sex, religion or belief, disability, sexual orientation) or ;

(d) disclose the name, address, telephone, mobile number, e-mail address or any other personal data in respect of any individual;

(e) infringe any copyright, database right or trademark of any other person (do not post another person's work when you do not have permission);

(f) breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;

(g) be in contempt of court;

(h) be likely to harass, upset, embarrass, alarm or annoy any other person;

(i) impersonate any person, or misrepresent your identity or affiliation with any person;

(j) give the impression that the contribution emanates from Salus Education or Laser Education Limited if this is not the case;

(k) advocate, promote, incite any third party to commit, or assist any unlawful or criminal act;

(l) constitute spam;

(m) contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducements to the commission, preparation or instigation of acts of terrorism; or 

(n) contain any advertising or promote any services or web links to other sites.

4.3 Use of uploaded content

By uploading content, information or material to the site, you automatically grant (or warrant that the owner of such rights has expressly granted) Salus Education and/or Laser Education Limited a perpetual, royalty-free, irrevocable, non-exclusive right and license to freely use, sub-license, reproduce, modify, adapt, publish, transmit and distribute such content. You accept that by uploading content onto the site you give Salus Education the right to display the things you post so that others can see them. In addition, you warrant that all so-called moral rights in those materials have been waived. By submitting material to the site, you are warranting that you have the right to grant the non-exclusive copyright licence described in this clause and that any material uploaded to the site is not in breach of any third party's rights (including any copyright, database right, trademarks or any other intellectual property rights). 

5. No collection of data

Except where expressly authorised by the Salus Education, you agree not to collect or store personal data about other users.

6. Passwords and security

You are responsible for maintaining the confidentiality of the password you are given to access the site (do not give other people your password) and are fully responsible for all activities that occur under your password. You need to notify Salus Education immediately of any unauthorised use of your password, and you need to exit your account immediately after you use the site. Salus Education has the right to disable any user identification code or password, whether chosen by you or allocated by it at any time if in its opinion you have failed to comply with any of the provisions of these terms of use.

7. Links to websites

The site may contain hyperlinks to websites controlled by parties other than Salus Education or Laser Education Limited. Salus Education and Laser Education Limited are not responsible for and does not endorse or accept any responsibility for the content or use of these websites. You should refer to the policies posted by other websites regarding privacy and other topics before you use them.

8. Reliance on information posted - disclaimer

Salus Education intends to update its site regularly and may change the content at any time. The content, information or material contained in the site may be out of date or include omissions, inaccuracies or other errors and Salus Education is under no obligation to update such material. Commentary and other materials posted on its site are not intended to amount to advice on which reliance should be placed. Any reliance on the content, information or material contained in the site is at your own risk.

9. Changes to these rules

Salus Education may revise these terms of use at any time.  You are expected to check this page from time to time to take notice of any changes it makes, as they are legally binding on you.

10. Salus Education liability

10.1 The material displayed on the site is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, Salus Education expressly excludes:

10.1.1 all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity; and

10.1.2 any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with the site or in connection with the use, inability to use, or results of the use of the site, any websites linked to it and any materials posted on it, including, without limitation any liability for:

(a) loss of income or revenue;

(b) loss of business;

(c) loss of profits or contracts;

(d) loss of anticipated savings;

(e) loss of data;

(f) loss of goodwill;

(g) wasted management or office time; and

for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

10.2  This does not affect Salus Education liability for death or personal injury arising from its negligence, nor its liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

11. Indemnity

You shall defend, indemnify and hold harmless Salus Education and Laser Education Limited, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable legal fees and costs, arising out of or in any way connected with your access to or use of the site.

12. Information about you and your use of the site

Salus Education may process information about you in accordance with its privacy notice.

By using the site, you consent to such processing and you warrant that all data provided by you is accurate. 

13. Prohibited uses

13.1 You may use the site only for lawful purposes. You may not use the site:

13.1.1 in any way that breaches any applicable local, national or international law or regulation;

13.1.2 in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;

13.1.3 for the purpose of harming or attempting to harm minors in any way;

13.1.4 to send, knowingly receive, upload, download, use or re-use any material which does not comply with the content standards; or

13.1.5 to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

13.2 You must not misuse the site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the site, the server on which the site is stored or any server, computer or database connected to the site. You must not attack the site via a denial-of-service attack or a distributed denial-of-service attack. 

13.3 By breaching clause 13.2, you would commit a criminal offence under the Computer Misuse Act 1990. Salus Education will report any such breach to the relevant law enforcement authorities and it will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the site will cease immediately.

13.4 Salus Education will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the site or to your downloading of any material posted on it, or on any website linked to it.

14. Validity

Each of the provisions of these terms of use is severable and distinct from the others and if at any time one or more of such provisions is or becomes invalid, illegal or unenforceable the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

15. Jurisdiction and applicable law

The Courts of England and Wales will have exclusive jurisdiction over any claim arising from or related to, a visit to the site although Salus Education through Laser Education Limited retains the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.  These site terms of use are governed by English law.
